Racine is advises the majority shareholders of the Malherbe Group on its sale to Geodis

Paris, 7 April 2026 – Racine has advised the majority shareholders of the Malherbe Group on the sale to Géodis.The transaction was completed following the receipt of the required regulatory approvals.

In recent years, Racine has advised the Malherbe Group on several external growth transactions, both in France and internationally, including Normatrans in 2022, Groupe Etoile Routière in 2023, and TLW in 2024.

Malherbe is recognized specialist in full-load road freight transport, with a strong presence in the agri-food and retail sectors. According to Géodis, this transaction will significantly strengthen its nationwide network and enhance its ability to support clients across France.

Geodis, a subsidiary of SNCF, is one of the world’s leading transport and logistics companies. It operates as a freight forwarder, a contract logistics provider and a road haulier. With nearly 49,720 employees across more than 166 countries, the company generated revenue of €11.3 billion in 2024.

Racine advised the majority shareholders of the Malherbe Group with a team comprising:
